These Terms of Service (“Terms”) govern your access to and use of the website, software platform, artificial intelligence tools, messaging services, and related offerings (collectively, the “Services”) provided by Leadwire, doing business as Leadwire AI (“Leadwire DBA Leadwire AI,” “Leadwire AI,” “we,” “our,” or “us”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

1. Eligibility & Authority

You must be at least 18 years old and have the legal authority to enter into this agreement.

If you are using the Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Services Overview

Leadwire DBA Leadwire AI provides a subscription-based SaaS platform that enables businesses to manage and automate customer communications across SMS, voice, and digital messaging channels.

Services may include, but are not limited to:

  • AI-assisted voice agents (inbound and outbound)

  • SMS and MMS messaging, including A2P 10DLC and toll-free programs

  • Website chatbots and conversational AI

  • Workflow automation, scheduling, and system integrations

  • Analytics, reporting, and operational monitoring tools

The Services are provided as configurable software tools. Leadwire AI may update, modify, or discontinue features at any time.

3. Account Registration & Security

You are responsible for:

  • Providing accurate and complete account information

  • Maintaining the confidentiality of your login credentials

  • All activity that occurs under your account

You must notify us immediately of any unauthorized access or suspected security breach.

4. Acceptable Use

You agree not to use the Services to:

  • Violate applicable laws or regulations, including TCPA, CAN-SPAM, and carrier rules

  • Send unsolicited, unlawful, deceptive, abusive, or misleading communications

  • Engage in spam, phishing, or fraudulent activity

  • Impersonate any person or entity

  • Transmit malware or harmful code

  • Infringe intellectual property or privacy rights

We reserve the right to suspend or terminate accounts that violate these Terms or create legal, carrier, or platform risk.

5. Messaging, SMS & Voice Compliance (A2P / 10DLC / TCPA)

If you use SMS, MMS, or voice services through Leadwire DBA Leadwire AI:

  • You must obtain explicit, documented consent from all message recipients

  • You are solely responsible for message content, timing, frequency, and legality

  • You must honor STOP, HELP, and opt-out requests immediately

  • Messaging behavior must align with the consent language presented to end users

Leadwire DBA Leadwire AI acts as a technology platform provider and is not the sender of record unless expressly stated in writing.

SMS Program Terms

You may opt out of SMS communications at any time by replying STOP to the sending number. After opting out, you will receive a confirmation message and will no longer receive SMS messages unless you opt in again.

Message delivery is subject to carrier availability. Carriers are not liable for delayed or undelivered messages.
Message and data rates may apply. Message frequency varies based on user interaction.

6. AI & Automated Messaging

The Services may use automation and AI-assisted technology to perform tasks based on user-defined configurations.

You acknowledge that:

  • AI-generated outputs may not be error-free

  • You are responsible for reviewing and monitoring AI behavior

  • AI tools are assistive and do not replace human judgment

  • Leadwire AI does not guarantee outcomes or results

Customer data is not used to train public or shared AI models.

7. Data & Privacy

Your use of the Services is subject to our Privacy Policy and Cookie Policy, which are incorporated by reference.

You represent that you have the legal right to collect, upload, and process any data used within the Services.

Leadwire AI does not sell personal data.

8. Fees, Billing & Payments

Fees are governed by your applicable agreement or invoice.

  • Payments are due according to the agreed billing terms

  • Failure to pay may result in suspension or termination

  • Fees are non-refundable unless otherwise stated

We may update pricing with reasonable notice.

9. Intellectual Property

All software, technology, designs, trademarks, and documentation provided by Leadwire DBA Leadwire AI are our intellectual property.

You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription term.

You may not copy, resell, sublicense, reverse engineer, or remove proprietary notices.

10. Third-Party Integrations

The Services may integrate with third-party platforms.

Leadwire AI is not responsible for third-party availability, performance, or data handling outside the platform. Use of third-party services is governed by their respective terms.

11. Service Availability & Modifications

The Services are provided on an “as available” basis.

We may:

  • Modify or discontinue features

  • Perform maintenance or upgrades

  • Impose usage limits to protect system integrity

12. Termination

You may terminate your account at any time.

We may suspend or terminate access immediately if:

  • These Terms are violated

  • Use creates legal, security, or carrier risk

  • Required by law or regulation

Upon termination, access to the Services will cease, and data may be deleted in accordance with retention policies.

13. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.”

We disclaim all warranties, including merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.

14. Limitation of Liability

To the maximum extent permitted by law, Leadwire DBA Leadwire AI shall not be liable for indirect, incidental, consequential, or punitive damages.

Total liability shall not exceed the amount paid to Leadwire DBA Leadwire AI in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless Leadwire DBA Leadwire AI from claims arising out of:

  • Your use of the Services

  • Your messaging content or configurations

  • Violations of law or third-party rights

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of North Carolina.

Any disputes shall be resolved exclusively in the state or federal courts located in North Carolina.

17. Changes to These Terms

We may update these Terms from time to time. Updates will be posted with a revised effective date. Continued use of the Services constitutes acceptance.
